Terms of Trade

1. Scope

These Terms of Trade govern all sales of products and services by Lezhifan (Lecong Industrial Zone, Shunde District, Foshan, Guangdong 528315, China) to the buyer. By placing an order, the buyer accepts these terms in full.

2. Orders & Acceptance

All orders are subject to written acceptance by Lezhifan. A contract is formed only when we issue a formal order acknowledgment or proforma invoice. We reserve the right to refuse orders at our discretion.

3. Pricing

All prices are quoted in USD or EUR unless otherwise stated. Prices are Ex-Works (EXW) our factory in Foshan, China, unless Incoterms are explicitly agreed in writing. Price validity is 15 days from the quote date unless otherwise specified.

4. Payment Terms

Standard terms: 30% deposit with order, 70% balance before shipment. For established trade partners, net 30 or L/C at sight may be available subject to credit approval. All bank charges are borne by the buyer.

5. Production & Lead Times

Lead times are estimates provided in good faith. Standard production is 30–45 days from deposit confirmation. Delays caused by force majeure, material shortages, or customization complexity shall not constitute breach. We will notify you promptly of any expected delays.

6. Shipping & Delivery

Shipping costs, insurance, and customs clearance are the buyer's responsibility unless DAP/DDP terms are explicitly agreed. Risk passes to the buyer upon goods leaving our factory (EXW) or at the agreed Incoterms transfer point. Claims for damage or shortage must be made within 7 days of receipt.

7. Warranty

Products carry a 2-year manufacturer's warranty against defects in materials and workmanship under normal use. Extended warranties up to 5 years are available for commercial projects. The warranty excludes: normal wear and tear, fabric/leather degradation, misuse, unauthorized modifications, and damage from improper cleaning.

8. Returns & Refunds

Custom and made-to-order products are non-returnable unless defective. Standard products may be returned within 14 days subject to a 25% restocking fee. Return shipping is the buyer's responsibility. Refunds are processed within 14 business days of receiving returned goods.

9. Intellectual Property

All product designs, technical drawings, and specifications remain the intellectual property of Lezhifan. The buyer shall not reproduce, modify, or reverse-engineer products without written consent.

10. Limitation of Liability

Our total liability shall not exceed the purchase price of the products giving rise to the claim. We shall not be liable for consequential, indirect, or incidental damages, including lost profits or business interruption.

11. Governing Law

These terms are governed by the laws of the People's Republic of China. Any disputes shall be submitted to the jurisdiction of the courts of Foshan, Guangdong.

12. Force Majeure

Neither party shall be liable for delays or failure to perform due to circumstances beyond reasonable control, including natural disasters, war, strikes, pandemics, government actions, or supply chain disruptions.
